Odisha IGR Registration and Documents Check list

In Odisha, as in other states of India, the registration of a partnership firm is governed by the Indian Partnership Act, 1932. The process to register a partnership firm can be bifurcated into two main stages:

  1. Drafting and Execution of Partnership Deed: Before approaching any government authority for registration, partners need to draft a Partnership Deed. This deed should capture all the terms of partnership, including the name of the firm, the names of all partners, the nature of the business, the duration of the firm, capital contributions by each partner, profit-sharing ratios, etc. Once the deed is drafted, it should be printed on a non-judicial stamp paper of the requisite value as per the state's stamp act and signed by all partners. This deed should then be notarized.

  2. Registration with the Registrar of Firms:

    • Form Filling: Submit the 'Form No. 1' (Application for registration of a Partnership) which captures details about the firm and its partners.
    • Documents Required: Typically, the following documents are required for registration:
      • Duly filled in 'Form No. 1'.
      • Partnership deed (original and a copy).
      • Proof of principal place of business (like rent agreement or property documents).
      • Affidavits from partners stating the intention to form a partnership.
      • ID and address proofs of all partners.
    • Submission of Forms and Documents: Once all forms are duly filled and documents are ready, you will need to submit them to the Registrar of Firms office in your jurisdiction in Odisha.
    • Payment of Fees: Pay the requisite registration fees. The fees can vary, so it's always a good idea to check the latest fee structure.
    • Verification and Certificate Issuance: After verifying all the documents, the Registrar of Firms will issue a registration certificate. This is proof that your partnership firm is now legally recognized.

Note: Registration of a partnership firm is not mandatory under the Indian Partnership Act, 1932. However, registering a partnership firm provides legal protection to partners and ensures that the firm can sue and be sued in its own name.

In addition to the above, if a partnership firm carries out activities that are subject to specific regulatory requirements (like GST), then additional registrations, like GST registration, may also be needed.

It's always a good idea to consult with a local lawyer or chartered accountant familiar with the registration process in Odisha to ensure compliance with all formalities and get updated information on the registration process.
